W pracy, omawiającej szczegółowo instytucje holdingu, wyjaśniono jakie cechy holdingu sprawiają, że przedsiębiorcy coraz częściej decydują się właśnie na tę formę formę prowadzenia działalności gospodarczej. W pierwszym rozdziale przedstawiono koncepcje definicji holdingu oraz jego cechu charakterystyczne. Porównano go z innymi formami koncentracji kapitału, wskazano jego wady i zalety, przedstawiono genezę instytucji holdingu oraz jej historyczną ewolucję w poszczególnych krajach. Ponadto w rozdziale pierwszym, wyróżniono podstawowe rodzaje holdingów oraz opisano jakie są podstawowe różnice między nimi. W drugim rozdziale dokonana została analiza funkcjonowania holdingu na gruncie polskiego prawa. Prześledzono zarówno sposoby powstawania holdingów, jak i odnoszące się do nich najważniejsze regulacje prawne z uwzględnieniem Kodeksu Spółek Handlowych, Ustawy o Ochronie Konkurencji i Konsumentów, Ustawy o Rachunkowości, a także prawa podatkowego. W rozdziale trzecim zaprezentowano problematykę struktur holdingowych w ujęciu komparatystycznym z uwzględnieniem krajów w których Holding ma szczególnie bogatą tradycję: w Stanach Zjednoczonych oraz krajach Europy Zachodniej. Omówiono także regulacje Unii Europejskiej dotyczące holdingów. Zaprezentowano też instytucje unijne, które są w pewnym sensie dla holdingów konkurencyjne, czyli Europejskie Zgrupowanie Interesów Gospodarczych oraz Spółkę Europejską. W rozdziale czwartym opisana została jedna z największych struktur holdingowych, która funkcjonuje w Polsce, czyli ITI.
In this paper, which discusses in detail the institution of holding company, is explained what features of holding company make it so atractable for entrepreneurs that they are increasingly turning to precisely this form of doing business. The first chapter presents the concept definition of a holding company and its guild features. Compare it with other forms of capital concentration, indicated its advantages and disadvantages, describes the origins of holding company and its historical evolution in each country. Moreover, in the first chapter, highlights the basic types of holdings and described what are the basic differences between them. In the second chapter we find the analysis of the functioning of a holding company under the Polish law. Traced the formation of holding companies, there is also referrence to the most important legal regulations concerned to holding institution such as the Commercial Companies Code, the Law on Competition and Consumer Protection, Law on Accounting and tax law. The third chapter presents the compaparision between the Polish regulations concerning the Holding Company and the law regulations in other countries, including the countries in which the holding has a particularly rich tradition: the United States and Western Europe. Also discussed the European Union regulations regarding holding companies. Also presented the EU institutions, which are in some sense for competitive for holding , the European Economic Interest Grouping and European Company. Fourth chapter described one of the largest holding structures, which operates in Poland, the ITI. - Dostawca treści:
