Opis:: In this article, author focuses on the regulation of the right to expectative of separate ownership based on the Act of separate ownership of the premises, Housing Cooperatives Act and Act protection of the rights of the purchaser of a separate ownership of the premises or a single-family house and the impact of that institution to increase the safety of trading participants containing development contracts. The author presents a framework of expectative of separate ownership and the conditions which must be met is necessary for the creation of that right to reasonable. Article also includes an analysis of the effectiveness of the various conditions of a expectative , they compare to similar legal institutions in the context of the needs of the housing market, as well as the desire to maximize the protection of potential buyers of these premises and investors.

Poruszane są tematy ograniczeń w rozporządzaniu nieruchomością, wynikające z ustaw szczególnych, zwłaszcza ustawy o kształtowaniu ustroju rolnego, oraz ich zastosowanie w przypadku czynności prawnej wniesienia wkładu niepieniężnego do spółki. Zainteresowanie skupia się na prawie pierwokupu oraz jego zastosowaniu do czynności aportu. Praca porusza ponadto tematy wymaganej formy przeniesienia własności tytułem aportu, chwilę przejścia własności na rzecz spółki i pochyla się nad zakwalifikowaniem zobowiązania do pokrycia udziałów (akcji) jako jednostronnej bądź dwustronnej czynności prawnej.
The master’s thesis is about conveyance of properties (expectative) by contribution in kind to limited liability company, joint stock company and european company. The subject of analysis are restrictions on the disposal of properties, coming from the law, mainly concerning agricultural real estate and their application to the contribution in kind. Moreover, the subject of interest is preemption right and its application to contribution in kind. The master's thesis is albo about form of transfer of ownership, the moment of this transfer. There are also some issues about contribution in kind in the context of bilateral contract.
