Opis:: The opinion presents the subject of the dispute and the judgment in the case C-187/16, the comparison of legal and factual situation related to that case with measures proposed in the governmental Bill as well as assessment on the significance of this judgment for further work on this Bill. The state of law being assessed in the case C-187/16 is comparable to measures included in the governmental Bill. The main difference is that Osterreichische Staatsdruckerei is a private company, whereas the company mentioned in Article 17 of the bill shall be a company wholly owned by the State Treasury. Therefore, in the author’s opinion it is possible to encompass production of given documents by the exemption provided in Article 12 para. 1 of the Directive 2014/24, but under additional conditions. If the Company is not considered an entity covered by this exemption, invoking the need to protect essential security interests of the state would require supplementing the grounds of the Bill by taking into account the position of the Court of Justice in the judgment C-187/16.

Opis:: The bill provides for the introduction into the Polish legal order of a new private law institution, i.e. the family foundation, the aim of which is to accumulate family wealth allowing capital to be retained in the country for many generations and increasing the potential for domestic investment. The beneficiaries of the foundation can be natural persons (including the founder) and non-governmental organisations carrying out public benefit activities, specified in the statutes by the founder. The bill also sets out mechanisms for the termination of a family foundation and its liquidation, which are similar to the solutions known in commercial companies’ law.

Opis:: W artykule skupiono się na stosowaniu odrębnego trybu postępowania z projektem dokumentu rządowego, który został zdefiniowany w przepisach § 98 – 100 Regulaminu pracy Rady Ministrów. W szczególnie uzasadnionych przypadkach Prezes Rady Ministrów (RM) albo działający z jego upoważnienia sekretarz RM może z własnej inicjatywy lub na wniosek organu wnioskującego zadecydować o odrębnym trybie postępowania z projektem dokumentu rządowego, czyli z pominięciem wymogów określonych w dziale III – Uchwały. Jednym z takich dokumentów jest m.in. projekt ustawy. W artykule wskazano przesłanki uzasadniające skorzystanie z uprawnień zdefiniowanych we wskazanych przepisach, przedstawiono też ocenę dotychczasowej praktyki, z jednoczesnym uwzględnieniem ustaleń poczynionych w tym obszarze przez Najwyższą Izbę Kontroli.
In his article, the author discusses the application of the separate procedure on draft government document referred to in the provisions of paragraphs 98–100 of the Rules of Procedure of the Council of Ministers. In accordance with the binding provisions, in especially justified cases the President of the Council of Ministers (Prime Minister), or authorised secretary of the Council of Ministers may on their own initiative, or upon amotion by the applying body, take a decision on a separate procedure for dealing with a governmental document – passing over the requirements set forth in Section III of the Resolution (paragraphs 19–97). One of such government documents is e.g. a bill (paragraph 19(1)(1) of the Rules of Procedure). The fundamental issue is identification of the premises that justify the “activation” of the rights regulated in the provisions of the above mentioned Resolution, as well as the assessment of the practices to date, which would consider, at the same time, the findings of the Supreme Audit Office in the area. The author focuses on indicating such premises, defined in the said Section III, as well as on the practices to date and the results of NIK audits.
