Opis:: Prywatyzacja jest kojarzona przez zwykłych ludzi z informacjami, jakie uzyskują w mediach. Często jest to news, połączony z wiadomościami o kryzysie, likwidacjach miejsc pracy, zamknięciach firm. Nie powinno być więc zaskoczeniem, że prywatyzacja jest kojarzona negatywnie. Prywatyzacja jednak daje całemu społeczeństwu, jak i pojedynczym jednostkom, możliwość spełniania aspiracji biznesowych. Celem niniejszego artykułu jest analiza aspektów związanych z oceną polskiej prywatyzacji. Stajemy przed poważnym dylematem oceny prywatyzacji jako zjawiska pozytywnego bądź negatywnego, jaki ma miejsce w naszej gospodarce.
The procedure of privatization is known to the common citizen through the facts he can gather from the mass media. It mainly consists of a piece of “ news” commingled with some information about “the crisis”, job cuts and business liquidations. Therefore it is no wonder, that the response to the phenomenon of privatization is generally negative. Privatization however grants our society as a whole as well as the individual the chance to fulfill their business aspirations.

Opis:: Podjęte w końcu lat 80. XX w. przeobrażenia polskiej gospodarki miały rangę zmiany ustrojowej i oznaczały rezygnację z dotychczasowych „realno-socjalistycznych” form gospodarowania. Twórcy polskiego modelu prywatyzacji musieli określić od podstaw wszystkie aspekty działań prywatyzacyjnych, w tym zwłaszcza cele i metody prywatyzacji, jej granice, warunki społecznej akceptacji i partycypacji oraz charakter i przebieg reform z nią związanych. Patrząc na przebieg procesu przekształceń własnościowych w minionej dekadzie z punktu widzenia wymienności między szybkością a szeroko rozumianą jakością prywatyzacji, dotychczasowy bilans należy ocenić korzystnie. Celem niniejszego artykułu jest ocena celów, zakresu, sekwencji i tempa prywatyzacji polskiej gospodarki, co składa się na „polski model prywatyzacji”.
The restructuring of the Polish economy at the end of the 1980s meant a fundamental transformation of the political system and the dismissal of an economy that up to then had been dictated by the rules and principles of the so called “real socialism”. The initiators of the Polish model of privatization had to clearly define all aspects concerning the implementation of privatization, as there are: its objectives and methods, the prerequisites for public acceptance and participation as well as the character and time schedule of the consecutive steps to be taken. Considering the time schedule of the ownership transformation process in the past decade under the terms of interchangeability between the time invested and the quality of privatization in a broader sense, it generally can be counted a success. This paper attempts to assess the objectives, the range, the time schedule and the time invested in the privatization of the Polish economy, all together listed under the generic term of the “Polish privatization model”.

Opis:: Funkcjonowanie gospodarki polskiej w ostatnich latach to klasyczny przykład wyższości gospodarki rynkowej, opartej na prywatnej własności środków produkcji nad gospodarkami opartymi do tej pory na własności państwowej. Wiele przedsiębiorstw państwowych doskonale sobie radzi w zmieniających się warunkach gospodarczych. Zasadność procesów prywatyzacyjnych potwierdza fakt, że z reguły po zmianie struktury właścicielskiej następuje wzrost rentowności przedsiębiorstwa. Celem artykułu jest próba analizy porównawczej zakresów denacjonalizacji, a także prezentacja na tym tle zastosowanych metod (technik) przekształceń własnościowych.
The functioning of Polish economy in recent years represents a classic example of the superiority of market economy, based on the private ownership of production means, over economic systems based on state ownership. Many state-owned companies are thriving under the changing economic conditions. The privatization procedures are justified by the fact that the change in the nature of the ownership generally resulted in an increase of the enterprise’s profitability. This paper is a comparative analysis of the various fields of denationalization and an introduction to the methods applied in the procedure of ownership transformation.

Opis:: In our article we present the use of hybrid securities in the privatization process. We show that exchangeable bonds may be successfully applied during privatization of state companies throughout the world. It may be profitable for many reasons. Firstly, the exchangeables offer a much lower coupon in comparison with the ordinary government bonds which may be crucial for highly indebted countries. Secondly, throughout the entire maturity period the state remains the owner of the privatized firm which means that the government can be a beneficiary of high dividends paid by the public enterprises and can actively manage them. Thirdly, in the case of unfavorable market conditions the authorities get an opportunity to wait for the end of economic turmoil in order to avoid selling the equity participations under their true value. Finally, the issue of certain types of exchangeables (e.g. callable exchangeables or mandatory exchangeables) and adding several provisions (e.g. greenshoe option or clean-up call) makes the instrument more flexible for the issuer. We also present a few examples of the privatization processes by means of exchangeable bonds i.a. in Germany and in Austria. Most of such operations, e.g. German Deutsche Post, Austrian Telekom Austria or Portuguese Galp Energia SGPS S.A. were completed with success.

Opis:: The aim of this paper is to analyse the process of privatization in Poland.We reflect on the winners and the losers of transformation processes as such, but also of their particular elements which are directly connected with privatization. Privatization in Poland started in the 80s. and is still continuing. From the very beginning privatization was viewed, by liberal governments in Poland, as the key issue in the process of political system transformation, market reforms and implementing economic freedom. Although 60% of Polish citizens agree that capitalist economy basing on private entrepreneurship is the best system for our country, many Polish citizens still represent rather critical approach to market economy because the process of privatization in Poland has been connected with two negative factors: unemployment and corruption. Yet Polish people start to accept new reality seeing advantages of capitalist aspects over socialist ones.

Opis:: The paper focuses on the origins, organizational structure and operations of corporate groups in Russia and their role in the economy. Corporate groups began to emerge and develop in Russia in the early 1990s in the wake of the privatization of state-owned enterprises, the author says. Their development was influenced by the so-called “loans for shares” program and a financial crisis in 1998. Most of Russia’s corporations have developed through either vertical or horizontal integration, and they also emerged in the form of conglomerates. Most corporations operate in industries such as oil, gas, chemicals, petrochemicals, power, metallurgy, steel and machinery. Characteristically, there are specific financial and interpersonal ties between representatives of individual companies within each group, Fiedorczuk says. In most Russian corporate groups, the main owners are oligarchs, or wealthy businessmen with an extensive network of political connections. Corporations play an important role in Russia’s economic, political and social life, the author notes. But they are also under heavy pressure from the country’s political authorities. As in other developing countries, corporate groups in Russia outperform single businesses in terms of financial and economic indicators. Overall, corporations may be an optimal response to market and government failures in a process of economic transition, Fiedorczuk concludes.

Tytuł:: Outer space and private companies : consequences for global security

Opis:: The paper focuses on sectors, methods, and spheres of the space activity of pri - vate companies, to provide empirical analysis of space applications and implica - tions for global security. Special emphasis has been given to private companies offering access to satellite imagery and satellite remote sensing, as well as compa - nies entering outer space with new and prospective capabilities as space mining. The article explains the rising importance of geo-intelligence, space surveillance and telecommunication for global security and new kind of security challenges and vulnerabilities such as environmental problems in outer space or techno - logical challenges to security. The author argues that profit-oriented companies play crucial role in new security environment in the US, efficiently changing the law and practice. Finally he points out that new and growing market for subcon - tractors in space applications raises questions on growing dependence on private resources in traditional sphere of state activity, namely security, in this case pro - vided from and through the outer space.

Opis:: Artykuł zawiera omówienie oraz analizę stanu zaawansowania procesu przekształceń własnościowych w Polsce w ujęciu regionalnym wg stanu na koniec 2004 roku, ze szczególnym uwzględnieniem przebiegu procesu prywatyzacji. Badania dowiodły, iż zarówno w ujęciu ogólnopolskim, jak również w układzie województw, nie występuje zdecydowana dominacja żadnej ze stosowanych metod prywatyzacji, aczkolwiek w poszczególnych województwach daje się zauważyć pewne różnice co do częstotliwości ich stosowania, uwarunkowane w dużej mierze liczbą przedsiębiorstw państwowych funkcjonujących na terenie danego województwa oraz ich specyfiką. Analiza przebiegu procesu prywatyzacji w ujęciu regionalnym wskazuje również na występowanie przestrzennego zróżnicowania stanu zaawansowania tego procesu.
The article gives the description and analysis of regional ownership changes in Poland at the end of 2004 with close attention to the privatization process. The research proves that in both dimensions - the whole-Poland and regional there have not been noticed any dominant privatization methods, though in particular voivodships there are some differences concerning their usage frequency mostly determined by the number and profile of state enterprises from particular voivodships. The privatization analysis in a regional aspect reveals an area differentiation of the process advancement.
