Opis:: The paper discusses legal consequences of violations of law which may occur in the course of passing resolutions by shareholders or when convening the meeting. Such violations take the form of procedural infringements, as opposed to material defects which concern the subject matter of the resolution. Several jurisdictions were taken into account in order to demonstrate that illegality of the procedure does not need to imply nullity of resolutions. There are various instruments which, despite illegality, are intended to preserve the resolution. This is all about the balance of preferences: in company law there are definitely situations where legality should be less valued than stability and certainty.

Opis:: Artykuł przedstawia kwestie związane z problematyką charakteru prawnego uchwał rad nadzorczych spółek kapitałowych oraz podstawą ich zaskarżania. W artykule zaprezentowano zmienność stanowisk orzecznictwa oraz doktryny na przedstawioną problematykę. Ewaluowały one począwszy od braku możliwości zaskarżania uchwał rad nadzorczych spółek kapitałowych, poprzez ich zaskarżanie w drodze analogicznego stosowania przepisów o zaskarżaniu zgromadzeń spółek kapitałowych, aż do ostatecznego zaakceptowania dopuszczalności ich zaskarżania w drodze powództwa o ustalenie. W opracowaniu wskazano również na korzyści oraz zagrożenia związane z przyjęciem jednego z przedstawionych stanowisk.
The article presents issues connected with the problem of legal character of resolutions of supervisory board in capital companies and the basis for filing an appeal against them. The paper refers to the variability of doctrine and jurisprudence views on the presented issue. The views evolved from the inability to file an appeal against resolutions of supervisory boards in companies, through the admissibility of the appeal by applying relevant provisions concerning resolutions of general meetings in companies, up to the standpoint regarding the possibility of appealing against them by bringing an action for establishment. The article indicates also benefits and risks of adopting one of the presented positions.

Opis:: The paper presents a detailed analysis of the orthographic resolutions of the Council for the Polish Language at the Presidium of the Polish Academy of Sciences, some background information is also provided. The conclusion is that the resolutions and other opinions of the Council are not formulated in the satisfactory way. Although the Council claims to support the language which is “correct, good, ethical and aesthetical”, such features are not exemplified in the texts discussed in the paper.

Opis:: The subject of this article is an analysis of the functioning models of the claimability of the resolutions of the bodies of companies in terms of the connection of these models with the legal nature of these resolutions. In the case of resolutions of shareholders meetings of companies, the provisions of the Code of Commercial Companies and Partnerships provide for a judicial review of each resolution adopted by that body. A different situation occurs in the case of resolutions of supervisory boards of companies, for which no procedure for pursuing legal actions against them is provided for in the CCC&P. The doctrine and the case law assume that, as a consequence of the application of the principle of unity of civil law, these resolutions can be challenged in court, as can invalid legal transactions. In this case, therefore, the legal nature of the resolution, and thus the determination that it is a legal transaction is crucial for the possibility of its challenging in court.

“Charakterystyka i skutki wadliwości uchwał walnego zgromadzenia akcjonariuszy”

Opis:: This Thesis is focused on shareholders` meeting resolutions defectiveness issues. There is particularly discussed a matter of “defectiveness” definition as well as its species and varieties in law. The law nature of the shareholders` resolution has been arbitrated also.It is detail noted that on practical side of the issue e.g. sue possibility of the resolution made by canceled members of capital company bodies with complete description of defectiveness resolution sue procedure. Some analysis of the profile of these resolutions - in literature and jurisprudence - has been made, including the matter of sue origin. At the end of this Thesis, the Author was presented his own directories and attitudes into general subject of the Note, despite reviewing de lege ferenda demands aimed to remove and neutralize any discrepancies and provide with more safe economic turnover in Poland.
Praca ma na celu kompleksowe omówienie zagadnienia wadliwości uchwał walnego zgromadzenia akcjonariuszy. Przede wszystkim, szczegółowo zostało omówione pojęcie wadliwości i jej odmiany. Rozstrzygnięto charakter prawny uchwały. W pracy została zwrócona uwaga na pojawiające się problemy praktyczne związane z omawianym zagadnieniem, np. możliwość zaskarżenia uchwały przez odwołanego członka organu spółki. Szczegółowo opisano proces zaskarżania wadliwych uchwał. Dokonano analizy poglądów piśmiennictwa i orzecznictwa w zakresie charakteru orzeczeń wydanych w oparciu o zaskarżenie uchwał. Na samym końcu autor pracy przedstawił własne poglądy w omawianej kwestii, dodatkowo przedstawił postulaty de lege ferenda, mające usunąć powstałe rozbieżności i zapewnić większe bezpieczeństwo obrotu gospodarczego.
